These Terms & Conditions (“Terms”) govern your access to and use of the Smart Parking – Easy Parking mobile application and related services (collectively, the “Service”) provided by Smart Parking Limited (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1) Eligibility & Accounts

You must be at least 13 years old to use the Service.
Authentication is performed via phone number sign-in using Firebase Authentication. You authorize us and our providers to send SMS messages for verification; carrier rates may apply.
You are responsible for maintaining the confidentiality of your device and any verification codes, and for all activity under your account.
You agree to provide accurate information and keep it up to date.

2) Service Overview & Relationship with Parking Operators

The Service enables you to start, manage, and pay for parking sessions where supported. Availability varies by location and operator.
We are a facilitator of payments and session management. We do not own, operate, or control parking facilities and do not set on-site rules, pricing, fines, or enforcement.
Your parking is also subject to the posted rules and the terms of the relevant parking operator or municipality. You must comply with those rules at all times.
We do not guarantee space availability, pricing continuity, or the absence of citations.

3) Payments, Pricing & Taxes

You authorize us and our payment processors to charge the payment method you provide for parking fees, convenience fees, taxes, and applicable adjustments.
Displayed rates are provided by operators and may change. Final charges may reflect actual session length, operator rules (grace periods, minimums, extensions), and taxes.
Card processing is handled by third-party processors; we do not store full card numbers on our systems.
You are responsible for all charges incurred under your account, including those from incorrect license plate entry or zone selection.

4) Parking Sessions, Extensions, Reminders & Payment Reminders

The app may provide session reminders or allow extensions where permitted by the operator. Reminders are a convenience and not guaranteed.
Where you have an outstanding amount payable in connection with your parking activity — such as an unpaid parking session, an unpaid balance, or an unpaid parking infringement notice (citation) associated with your account or vehicle — we may send you payment reminders by SMS, in-app notification, or email, in accordance with Section 11 (Electronic Communications & SMS/Text Messaging Program).
Payment reminders are a convenience and are not guaranteed. Non-receipt of a reminder does not excuse or extend any payment obligation, deadline, or consequence set by the issuing operator or authority.
Your session is active only when confirmed in the app with a valid start timestamp and zone. Keep your confirmation for your records.
Operators and municipalities may prohibit extensions or require a waiting period between sessions.

5) Parking Infringement Notices (Citations)

A parking operator or municipality may issue a parking infringement notice (also referred to as a “citation,” “parking charge notice,” or “notice”) in connection with a vehicle or parking session associated with your account.
Where the Service supports it, we may make available to you information about a notice associated with your account or vehicle, including the notice reference, amount payable, payment due date, and payment options.
Where you have consented under Section 11, we may send you SMS account notifications regarding such notices, including issuance updates, payment due reminders, payment confirmations, and status updates.
SMS notifications about a notice are provided as a convenience only. They do not constitute, replace, or affect the formal issuance or legal service of any notice, which occurs by the method prescribed by the issuing authority and applicable law. The deadlines and rights stated on the notice itself are unaffected by whether an SMS notification is sent or received.
Notices are issued and enforced by the relevant operator, municipality, or issuing authority under their own rules and applicable law. We do not determine liability for, set the amount of, or adjudicate disputes about notices. Disputes, appeals, or challenges regarding a notice must be raised directly with the issuing authority or operator in accordance with the instructions on the notice.
Amounts stated in a notification are provided by the issuing operator or authority and may change (for example, where a discount period lapses or an amount escalates under the issuer’s published terms). The notice itself, as issued by the issuing authority, remains the authoritative statement of the amount payable and the applicable deadlines.

6) Adjustments, Refunds & Disputes

All fees are generally non-refundable once a session starts. Requests for adjustments due to system error may be reviewed.
Disputes related to citations or enforcement must be taken up directly with the issuing authority/operator.
Payment disputes (e.g., duplicate charges) should be reported promptly via privacy@smartparking.com with your session ID and receipt.

7) Acceptable Use

Do not misuse the Service, including by attempting unauthorized access, interfering with operation, reverse engineering, or using automation to create sessions.
Do not submit unlawful, fraudulent, or misleading information (e.g., incorrect plate, zone, or exemptions).
Do not infringe the rights of others or violate parking rules, traffic laws, or applicable regulations.

8) License & Intellectual Property

We grant you a limited, personal, revocable, non-transferable license to install and use the App for its intended purpose.
All rights, title, and interest in the Service, including software, trademarks, and content, are owned by Smart Parking Limited or its licensors and are protected by law.
You may not copy, modify, distribute, sell, or lease any part of the Service except as expressly permitted.

9) Third-Party Services

The Service integrates with third parties (e.g., Firebase Authentication for phone sign-in and payment processors for card acceptance).
Your use of third-party services may be subject to their own terms and privacy notices.
We are not responsible for third-party services’ actions or omissions.

10) Privacy

Your use of the Service is subject to our Privacy Policy, which explains what data we collect (including phone numbers for authentication and account notifications), how we use it, and your rights under U.S. and California law.

11) Electronic Communications & SMS/Text Messaging Program

By using the Service, you consent to receive electronic communications from us, including SMS messages for (a) phone number verification, and (b) account notifications relating to your parking activity, such as parking session reminders, payment reminders, payment confirmations, and updates regarding a parking infringement notice (citation) associated with your account or vehicle (the “Smart Parking Account Notifications program”).
Message frequency varies based on your account activity. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
You can opt out of account notification SMS at any time by replying STOP (or STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT) to any message. After opting out, you will receive a single confirmation message and no further account notification messages will be sent. You can rejoin at any time by replying START.

Consent to receive account notification SMS is not a condition of purchasing any goods or services.
Opting out of SMS does not remove any obligation to pay amounts owed in connection with a parking session or infringement notice; it only stops SMS notifications about them.
You represent that the mobile number you provide belongs to you, and you agree to notify us promptly (and to opt out) if you relinquish that number.
Legal notices may be provided by posting in-app, on our website, or by email/SMS where appropriate.

12) Disclaimers

AS IS / AS AVAILABLE. The Service is provided “as is” and “as available,” without warranties of any kind, express or implied.
We do not warrant uninterrupted or error-free operation, real-time notifications, space availability, or accuracy of third-party information (rates, rules, maps).
To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13) Limitation of Liability

To the maximum extent permitted by law, Smart Parking Limited and its affiliates, officers, employees, agents, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to your use of the Service.
Our total liability for any claims relating to the Service shall not exceed the greater of (a) the amounts you paid to us for the transaction giving rise to the claim, or (b) USD $50.
Certain jurisdictions do not allow limitations on implied warranties or exclusion/limitation of liability for incidental or consequential damages, so some limitations may not apply to you.

14) Indemnification

You agree to indemnify and hold harmless Smart Parking Limited and its affiliates, officers, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, violation of these Terms, or violation of any law or third-party right.

15) Termination & Suspension

We may suspend or terminate your access to the Service at any time with or without notice if we believe you have violated these Terms or applicable law, or to protect the Service, users, or partners.
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (e.g., payments due, IP, disclaimers, limitations of liability, indemnity, governing law) shall survive.

16) Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-laws principles.
Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting privacy@smartparking.com.
Venue: Subject to applicable law, you agree to the exclusive jurisdiction and venue of state and federal courts located in San Francisco County, California.
Nothing here prevents either party from seeking injunctive or equitable relief to protect confidential information or intellectual property.

17) Apple App Store & Google Play Terms

If you downloaded the App from the Apple App Store or Google Play, you also agree to their applicable terms. Apple and Google are not responsible for providing maintenance or support for the App.
To the extent any third-party terms conflict with these Terms, these Terms control as between you and us.

18) Changes to the Service or Terms

We may modify or discontinue the Service (in whole or part) at any time.
We may update these Terms from time to time. Material changes will be effective upon posting the updated Terms in the App or on our site with a revised “Last updated” date. Your continued use constitutes acceptance of the changes.

19) Miscellaneous

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Entire Agreement: These Terms (and the Privacy Policy) are the entire agreement between you and us regarding the Service.
